The Entrepreneurial Pass (commonly known as EnterPass) is a Singapore work permit and a type of Singapore Employment Pass, which is mainly issued to entrepreneurs of innovative and technological companies in the high-tech industry, innovation and R&D industries.

Singapore Company Registration Details:

Process steps for registering a company

​

1. Fill in the registration form.
2. Submit the registered company name to the Accounting and Enterprise Authority of Singapore (ACRA), which usually takes 1 working day for approval (if there is a similar name, it will take longer).
3. The company name is approved.
4. Submit the registration to the Accounting and Enterprise Authority of Singapore (ACRA) and pay the fee, usually the approval time is about 1 working day.
5. The Accounting and Enterprise Authority of Singapore (ACRA) was officially approved for establishment.
6. Print the company registration certificate, the articles of association of the company, and engrave the relevant seal of the company.

Shareholder requirements of the company 

​

There is no restriction on the composition of shareholders in a Singapore company and can be a natural person or a corporation. A Singapore company can be wholly non-Singaporean or 100% owned by a non-Singaporean company. Singapore SP and WP Work Pass holders are not allowed to hold shares in the company.

Requirements for directors of the company

​

The directors of a Singapore company must be natural persons aged 18 or above, and the board of directors of a Singapore company may consist of one or more directors, provided that there is at least one local director, and a local director must meet one of the following conditions:
1. Singapore citizen;
2. Singapore Permanent Residents;
3. Holder of the Business Pass.

Business Secretary Requirements and List of Services

​

Singapore companies must provide a commercial secretary. The commercial secretary must have at least any of the following qualifications:
1. Have been working as a commercial secretary in another company for at least 3-5 years before being hired as a secretary by the company;
2. Professional qualifications in accordance with Chapter 161 of the Professional Law;
3. Certified public accountant of the Institute of Certified Public Accountants of Singapore;
4. Member of the Institute of Chartered Secretaries and Administrators of Singapore.

Registered capital requirements

​

The minimum registered capital of a Singapore company starts at S$1 and there is no upper limit. Singapore companies usually do not have a strict time limit for the full payment of registered capital and are not subject to stamp duty. The registered capital can be in Singapore currency or other commonly used foreign currencies.

Company address requirements

​

Singapore companies must provide a local registered address in Singapore. If there is a change in registered address, the Accounting and Corporate Control Board of Singapore must be notified within 14 days.

Company name requirements

​

The name of the Singapore company must be in English and Chinese registration is not currently accepted. The name of the pre-registered company cannot be:
1. Bad name;
2. The same name as the existing company, enterprise or organization;
3. The same name as the retained company, enterprise or organization;
4. Same name as a Singapore government agency.
5. It must also be noted that if the name of the pre-registered company is very similar to the name of the existing or retained company, enterprise or organization, the registration officer will agree or reject the application for the name according to his or her own judgment.
